1. The short version
You may install and use the full Software, with nothing disabled or held back, under the terms below.
- If your organisation's group annual turnover is under £1,000,000, you may use the Software free of charge, for as long as you like.
- If your organisation's group annual turnover is £1,000,000 or more, you may evaluate the full Software free of charge for up to 90 days. To continue using it after that, you must hold a paid licence from Xtrable.
There is no copy protection, no licence key, no account, and no "phone home". We trust you to honour these terms. Using the Software beyond what they permit is a breach of this licence.
This is a no-cost licence for qualifying users. It is not free or open source software. The Software remains the proprietary property of Xtrable, and "free" throughout this licence means free of charge, not free of these terms.
2. Definitions
"You" / "your organisation" means the legal entity using the Software and, where that entity is part of a group of companies, the group as a whole.
"Group annual turnover" means the total annual turnover of your organisation together with its parent and subsidiary undertakings, taken from the most recent annual accounts filed or otherwise published. Where accounts are reported in a currency other than pounds sterling, the threshold is £1,000,000 or the equivalent in that currency at the time of assessment.
"Free use" means use permitted free of charge under section 3. It does not mean the Software is free or open source; the Software remains Xtrable's proprietary property at all times.
"Evaluation" means use under section 4.
"Paid licence" means a licence granted by Xtrable in return for payment, under section 5.
3. Free use (organisations under £1,000,000 turnover)
If your group annual turnover is under £1,000,000, you may use the Software free of charge, on any number of machines, by any number of people, in development and in production, indefinitely, subject to section 7 (general conditions).
No registration, key, or notice to us is required.
4. Evaluation (organisations at or above £1,000,000 turnover)
If your group annual turnover is £1,000,000 or more, you may install and use the full Software, with nothing restricted, for the purpose of evaluating it, for a period of up to 90 days from your first use.
Evaluation is intended to let you decide whether to license the Software. It is not intended to provide indefinite free production use through repeated or rolling "evaluation". Continuing to use the Software beyond 90 days, for any purpose, requires a paid licence.
To obtain a licence, contact us before your evaluation period ends (see section 9).
5. Paid licence (organisations at or above £1,000,000 turnover)
Continued use by an organisation at or above the turnover threshold requires a paid licence.
- NeoArc Studio is licensed as the flagship product. A NeoArc Studio licence includes the right to use Inclusa, Understudy, Meddle, and Nanoesis.
- Inclusa, Understudy, Meddle, and Nanoesis may each also be licensed individually.
Every paid licence includes support with a service level agreement (SLA). The SLA scales with the size of the engagement; the specific response and resolution commitments are set out in your order or licence agreement with us.
Bespoke arrangements, including enhanced or expedited SLAs, source code escrow, offline and reproducible builds, secure transit of code, and provision of source code for in-house building in air-gapped or classified environments, are available and agreed on a per-deal basis. Contact us to discuss.
6. Support for free and evaluation users
Free-use and evaluation users may contact us through the channel we publish. We will help where we reasonably can, on a best-effort basis. No SLA applies to free or evaluation use: response is not guaranteed and is not subject to any time commitment.
7. General conditions (all users)
For all use, whether free, evaluation, or paid, you may not:
- remove, alter, or obscure any copyright, licence, or attribution notice in the Software;
- represent that you authored the Software or remove Xtrable's identification as its publisher;
- repackage, rebrand, or redistribute the Software as your own product, or present it under any name or branding other than Xtrable's, whether on its own or as a component of another offering;
- sell, sublicense, or otherwise make the Software available to others as a competing product, without our written agreement.
Using the Software to build and deliver your own separate products and services is permitted. These conditions do not restrict your internal use of the Software to build, test, operate, or deliver your own work.
Resellers and procurement intermediaries. Nothing above prevents you from acting as a reseller, distributor, or procurement agent for the Software, including buying licences on behalf of enterprise or government customers, or facilitating their purchase, provided the Software is supplied as Xtrable's product, under this licence and its Xtrable branding and notices, and not passed off as your own. If you would like to resell or distribute the Software in this way, contact us.
8. Air-gapped and offline use, and no call-home
The Software is built to run in security-sensitive, regulated, and air-gapped environments, and to give procurement and security reviewers a clear set of assurances:
- The Software contains no telemetry, analytics, tracking, or usage reporting.
- It does not "call home". It makes no connection to Xtrable, and no connection to any licence server, account service, or update service, at install or at any point during use.
- It requires no network access, no account, no licence key, and no contact with Xtrable in order to install or function. It can be installed and run fully offline and within air-gapped networks.
- The Software initiates no outbound network connection of its own. The only network activity is the activity you explicitly direct a tool to perform as part of its intended function. For example, Inclusa connects to the sites you ask it to scan, Meddle connects to the endpoints you point it at, and Understudy serves the simulated endpoints you configure. This traffic is yours, goes only where you direct it, and never reaches Xtrable.
The applicable licence is still determined by your turnover and use as set out above; offline operation does not change which licence applies.

10. Warranty and liability
The Software is provided "as is", without warranty of any kind, except where a separate signed agreement with Xtrable states otherwise. To the fullest extent permitted by law, Xtrable is not liable for any loss or damage arising from use of the Software under a free or evaluation licence. Liability under a paid licence is as stated in the relevant order or agreement. Nothing in this licence excludes liability that cannot be excluded by law.
11. Termination
If you use the Software in breach of this licence, your right to use it ends automatically. You can restore your rights by coming into compliance, including, where applicable, by obtaining a paid licence.
12. Governing law
This licence is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except where mandatory local law provides otherwise.
This licence is a plain-language commercial licence. It is not an open source licence and does not grant open source rights.
